BobUpAI - Terms of Service

1. Acceptance of Terms

By accessing or using BobUpAI's services ("Services"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Service

BobUpAI provides a SaaS platform that helps customers understand how their products perform in Large Language Model (LLM) search engines. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time without notice.

3. Account Registration

To use our services, you must:

• Provide accurate, current, and complete information.
• Maintain and promptly update your information to keep it accurate and complete.
• Maintain the security of your account credentials.
• Be at least 18 years of age or have valid parental consent.
• Notify us immediately of any unauthorized use of your account.

4. Subscription and Payment; Automatic Renewal

Our subscription plans are as follows: Basic Plan: $5/month; Pro Plan: $10/month; Enterprise Plan: $500/month.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period (monthly) until you cancel it. By purchasing a subscription, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate, in advance.

Pre-Purchase Disclosure: Before your first payment is processed, you will be presented with the total recurring amount, the billing frequency, and a confirmation of these automatic renewal terms, which you must affirmatively accept.

Failure to pay may result in service suspension or termination.

5. Cancellation and Refunds

Cancellation: You may cancel your subscription at any time through your account settings page. Because California law requires a simple, immediately accessible online cancellation method, you can also use [LINK TO CANCELLATION PAGE/FORM] or contact us at martin@bobupai.com.

Cancellations are effective at the end of the current billing period, and you will retain access until that time.

6. Acceptable Use

You agree not to:

• Use the service for any illegal or fraudulent purposes.
• Attempt to gain unauthorized access to our systems.
• Interfere with or disrupt the service or servers/networks connected to the service.
• Use automated systems (bots, scrapers, etc.) to access the service without our express written permission.
• Violate any applicable local, state, federal, or international laws or regulations.
• Infringe on any third party's intellectual property or privacy rights.

7. Intellectual Property

All content, features, and functionality of BobUpAI (excluding your data) are and will remain the exclusive property of BobUpAI and its licensors, protected by copyright, trademark, and other intellectual property laws. You retain ownership of all data you input into our platform.

8. Data and Privacy

Your use of the service is also governed by our Privacy Policy. We collect, use, and protect your data as described in that policy, and we acknowledge and respect your rights under the California Consumer Privacy Act (CCPA).

9. Limitation of Liability

To the maximum extent permitted by California law, BobUpAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use or inability to use the service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the service will be uninterrupted, secure, or error-free.

11. Termination

We reserve the right to terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12. Dispute Resolution and Mandatory Arbitration

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Mandatory Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in Santa Clara County, California. The arbitration shall be conducted by a single arbitrator in accordance with the AAA's rules. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any claims brought against BobUpAI must be made in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Exception: Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Services or intellectual property infringement without first engaging in arbitration or the informal dispute resolution process described above. Small claims court actions within California are also permitted.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the service after such changes constitutes acceptance of the modified Terms.
